Welcome to Metkolist.
These Terms of Service (“Terms”) govern your access to and use of the Metkolist website, platform, software, and related services (collectively, the “Services”). Metkolist is a software product of Edmart Inc (“Metkolist,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Use of the Services
Metkolist provides software tools to help users organize, edit, validate, schedule, and manage listing-related content and workflows across supported platforms and marketplaces.
You may use the Services only in compliance with these Terms and all applicable laws, regulations, marketplace rules, platform rules, and third-party terms that apply to your use of connected services.
2. Eligibility
You may use the Services only if you are legally able to enter into a binding agreement and are authorized to act on behalf of yourself or your business, if applicable.
If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. Accounts
You may need to create an account to use some or all of the Services. You are responsible for:
- providing accurate and current information;
- maintaining the confidentiality of your login credentials;
- restricting access to your account;
- all activity that occurs under your account.
You must notify us promptly at info@metkolist.com if you believe your account has been compromised or used without authorization.
4. Connected Platforms and Third-Party Services
Metkolist may allow you to connect third-party platforms, marketplaces, stores, tools, and data sources, including seller-authorized integrations and external catalog sources.
By connecting a third-party service, you authorize Metkolist to access, process, and use the data made available through that connection as necessary to provide the Services.
Your use of third-party services remains subject to those third parties’ own terms, conditions, and privacy policies. Metkolist is not responsible for third-party services that it does not control.
5. User Content and Data
You retain ownership of the content, product data, listing data, images, text, files, and other materials that you submit to or process through the Services (“User Content”).
You grant Metkolist a limited, non-exclusive, worldwide, revocable license to host, copy, process, transmit, display, and use User Content solely as necessary to provide, maintain, improve, secure, and support the Services.
You represent and warrant that:
- you own or have the necessary rights to use and submit User Content;
- your User Content does not violate any law, contract, intellectual property right, privacy right, or platform policy;
- your User Content and your use of the Services will not infringe or misappropriate the rights of any third party.
6. Acceptable Use
You may not use the Services to:
- violate any applicable law or regulation;
- violate the rules, policies, or terms of any connected marketplace, platform, or third-party service;
- upload false, deceptive, unlawful, infringing, or harmful content;
- interfere with or disrupt the integrity, performance, or security of the Services;
- attempt unauthorized access to any account, system, or data;
- distribute malware, malicious code, or harmful scripts;
- reverse engineer, decompile, copy, scrape, or exploit the Services except as permitted by law;
- use the Services to transmit spam, fraudulent content, or abusive material.
7. AI-Assisted Features
Metkolist may offer AI-assisted features to help users draft, review, improve, classify, map, validate, or organize seller-provided listing content.
AI-assisted features are provided for convenience only. You are solely responsible for reviewing all outputs before submission, publication, or operational use.
Metkolist does not guarantee that AI-assisted outputs are accurate, complete, compliant, non-infringing, or suitable for any specific platform, marketplace, or purpose.
8. Fees and Pricing
Metkolist may offer free, paid, custom-priced, early access, trial, or quote-based plans.
If you purchase paid Services, you agree to pay all applicable fees, charges, taxes, and renewal amounts disclosed to you.
- fees are non-refundable;
- subscriptions may renew automatically;
- we may change pricing for future billing periods upon notice.
9. Intellectual Property
The Services are owned by or licensed to Metkolist and are protected by intellectual property laws.
10. Service Availability and Changes
We may modify or discontinue any part of the Services at any time.
11. Beta Features
Some features may be incomplete or unstable and are provided “as is”.
12. Termination
We may suspend or terminate your access if terms are violated or risks occur.
13. Disclaimer of Warranties
Services are provided “as is” without warranties.
14. Limitation of Liability
Metkolist is not liable for indirect damages.
15. Indemnification
You agree to indemnify Metkolist against claims arising from your use.
16. Privacy
Your use is also subject to Privacy and Cookie policies.
17. Governing Law
Governed by Texas law.
18. Dispute Resolution
Disputes will be resolved in Texas courts.
19. Changes
Terms may be updated over time.
